This course will be offered on an accelerated basis, taught from September 21-25.  It will provide a guidance on M&A practices in various jurisdictions, including the US, Europe, Japan and other emerging countries.  The course will address global M&A trends, various transaction structures, terms of acquisition agreements and a comparison of different M&A practices (e.g., US-style and UK-style), as well as other legal issues such as merger filings and anti-corruption.  The course will also introduce various aspects of Japanese corporates, including corporate governance, business cultures and commercial trends.  Students will work on short Q&A papers at the end of the course.
