Limited enrollment.  This course will focus on corporate governance in a variety of contemporary contexts. After an introduction to the way  U.S. -based public  corporations are governed, the course will explore the role of institutional and activist investors in public companies, the emerging role of the lead director or non-executive chair in U.S. companies, ESG issues in corporate governance, corporate governance in M&A  contexts, the demographics of corporate governance, governance at privately held companies and at private equity- owned companies as well as at not- for- profit entities. Students may take the course for two credits or  chose to take it as a three credit course, which will involve writing a paper to satisfy the writing requirement. Guest speakers will be invited to present on various topics.

Prerequisites/Corequisites Prerequisite: LAW 6131. Can be taken concurrently with professor approval.
